GOVERNING LAW AND JURISDICTION

STATEMENT OF LIMITED WARRANTY

WARRANTY

Supplier warrants that, with respect to the Product purchased, for the period commencing on the delivery date and ending one (1) year thereafter (the “Warranty Period”), such Product will (a) conform to the specifications provided the Buyer to Supplier; (b) be new and undamaged when delivered; (c) be free from failure and defects in design, materials and/or workmanship; (d) be designed, engineered and manufactured, as applicable, in accordance with generally accepted professional industry standards of good engineering and production; (e) conform with applicable law; and (f) be free and clear of all liens, claims and encumbrances upon delivery (collectively, the “Defects Warranty”). If the Product fails to conform to this warranty, Supplier shall, at Supplier’s sole option and cost (including all transportation and freight costs and expenses) (i) repair the Product, (ii) replace such non-consumable parts of the Product with an equivalent that conforms with the requirement for the original Product. The Warranty Period applicable to Product replaced by Supplier pursuant to clause (i) of the preceding sentence shall automatically expire upon the later of (A) the end of the Warranty Period, (B) 12 months after the date such Product was replaced, or (C) the replacement product warranty if it is a longer warranty period. If Supplier performs work associated with a warranty period associate with that work shall be one (1) year from the completion of the work.  The Warranty work does not include the cost of travel and labor for the change of standardized parts of the Product as part of a warranty claim except in the case of work that must be conducted to remediate reasonably Supplier defined critical safety issue or reasonably Supplier defined non-user serviceable warranty work where the product is also non-functional.  For the sake of clarity user serviceable work would include but not be limited to, changing standardized parts that can be replaced using industry available tools, procedures that can be supported in writing or verbally over the phone, and landing wiring with voltage below 50 volts. 

EXCLUSIONS AND LIMITATIONS

The warranty shall not extend to any products whose defects are due to (i) careless or improper use, (ii) failure to observe the Supplier's instructions regarding the transport. installation, functioning, maintenance and the storage of the products, (iii) repairs or modifications made by the Buyer or third party without prior written authorization of the Supplier. (iv) negligence during the implementation of authorized repairs or modifications, (v) if serial numbers are modified or illegible, (vi) anomalies caused by, or connected to, exposure to the elements arising out of the actions of the Buyer, (vii) accidents or events that place the product outside its storage and operational specification, or (viii) continued use of the products after identification of a fault or defect.  This limited warranty is not applicable and Supplier be not responsible or liable to the Buyer for any delay in performance or non-performance due to any acts of God such as but not limited to, volcanic events, tsunami, earthquakes, strikes, war, riots, vandalism, war like conditions, plague or other epidemics, flood, fire and other type situations which are beyond the control of Supplier.

EXCEPT AS EXPRESSLY SET FORTH ABOVE, SUPPLIER MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WHATSOEVER, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.  TO THE FULLEST EXTENT PERMITTED AT LAW, UNDER NO CIRCUMSTANCES WILL SUPPLIER BE LIABLE FOR ANY SPECIAL, PUNITIVE, INCIDENTIAL OR CONSEQUENTIAL DAMAGES, WHETHER FORSEABLE OR NOT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR INCOME, OR ATTORNEY’S FEES, ARISING DIRECTLY OR INDIRECTLY, FROM THE SALE OR USE OF ANY PRODUCTS, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE.  UNDER NO CIRCUMSTANCES SHALL THE LIABILITY OF THE SUPPLIER FOR NONCONFIRMING PRODUCTS EXCEED THE PURCHASE PRICE PAID TO SUPPLIER FOR THE PARTICULAR PRODUCT INVOLVED, PLUS REASONABLE SHIPPING EXPENSES.  

TRANSFER

This limited warranty is transferable to any other part from the Buyer under the condition that the product remains installed and utilized at the original location for the purpose for which it was delivered.  Any transferee is subject to all the exclusions, limitations, and conditions set forth herein.

RATE SCHEDULE

During the Warranty Period, on-site integration and support will be billed at the Company’s published T&M rates at the time of service.
